Terms of Service

You must not, and must not permit any third party to:

• Sublicense, sell, rent, lease, or transfer the software or your account to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
• Modify, adapt, translate, or create derivative works based on the software
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Use the Service for any illegal, fraudulent, or unauthorised purpose
• Use automated scripts, bots, or tools to scrape, stress-test, or abuse the Service
• Attempt to gain unauthorised access to any part of the Service, its servers, or connected systems
• Resell, white-label, or commercialise the Service without our prior written consent
• Use the Service to process or transmit content that is unlawful, defamatory, infringing, or harmful

LotusQ is built on open-source components including Tauri (MIT), Whisper (MIT), and others. Your use of those components is governed by their respective licences, copies of which are bundled with the software. These Terms do not supersede those licences.

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised use of your account. We are not liable for any loss arising from your failure to keep credentials secure.

You may not create multiple accounts to circumvent free-tier limits, referral rewards, or any other restriction. We reserve the right to merge or terminate duplicate accounts.

LotusQ offers a free tier with unlimited local Whisper transcription. No credit card is required to use the free tier. Free-tier features are provided at our discretion and may change with reasonable notice.

Access to cloud transcription, Smart Styles, synced dictionary, Command Mode, and priority support requires a paid Pro subscription ("Pro"). Pro is available on a monthly ($10/month) or annual ($96/year) basis.

New accounts receive a 14-day Pro trial with full access to all Pro features. No charge is made during the trial period. At the end of the trial, your account reverts to the free tier unless you activate a paid subscription. We reserve the right to modify or withdraw the trial offer at any time.

Subscriptions are billed in advance and renew automatically at the end of each billing period unless cancelled. All prices are listed in USD and exclude any applicable taxes, which are your responsibility. Payment is processed by our third-party payment processor; LotusQ does not store your payment card details.

You may cancel your subscription at any time through the LotusQ customer portal. Cancellation takes effect at the end of the current billing period; you retain access to Pro features until that date. Cancellation does not entitle you to a refund of any fees already paid.

All fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 14 days of the charge at [email protected] and we will investigate in good faith.

We may change subscription prices on reasonable notice (no less than 30 days). Price changes will not affect your current billing cycle but will apply on your next renewal. If you do not agree to a price change, you must cancel before it takes effect.

Pro subscribers may receive a unique referral link. When a new user registers using your link and activates a paid Pro subscription and dictates 2,000 words or more, both you and the referred user each receive one month of Pro credited to your accounts.

• Referral rewards have no cash value and may not be exchanged for currency
• Credits are applied to your next billing cycle and reduce (but do not eliminate) charges if your credit is less than the full month's fee
• Self-referrals or referrals of existing users are not eligible
• Abuse of the referral programme (including fake accounts, bot signups, or fraudulent activity) will result in forfeiture of all accrued rewards and may result in account termination
• We reserve the right to modify, suspend, or terminate the referral programme at any time with reasonable notice

We actively monitor referrals for fraud. We may withhold or reverse rewards where we reasonably suspect fraudulent activity. Our determination is final.

The LotusQ software, website, brand, logo, and all associated content and technology are owned by or licensed to ANNT Capital Limited and are protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any ownership rights to you.

If you provide suggestions, ideas, or feedback about the Service, you grant us a worldwide, royalty-free, irrevocable licence to use that feedback for any purpose without compensation to you.

You retain all rights to any text produced by transcribing your voice using LotusQ. We claim no ownership over your dictated content. We do not use your audio or transcription output to train any machine learning models.

You may stop using the Service and delete your account at any time. Account deletion requests can be submitted by emailing [email protected]. We will process deletion within 7 days.

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in fraudulent activity, fail to pay fees when due, or if we are required to do so by law. Where permitted, we will give reasonable advance notice of termination for other reasons.

On termination, your licence to use the software immediately ceases. You must uninstall the application. Provisions that by their nature should survive termination (including Sections 7, 10, 11, 12, and 13) will continue in force.

If you have a dispute with us, please contact us first at [email protected]. We will make a good-faith effort to resolve the matter informally within 30 days.

If you are a consumer resident in the UK or EEA, these Terms do not affect any statutory rights you have under applicable consumer protection legislation. Where mandatory local law provides greater protection, those provisions prevail.

If you are an EU consumer, you may submit a complaint via the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ANNT Capital Limited regarding the Service and supersede all prior agreements.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, or sale of assets) without restriction.

These Terms do not create any third-party beneficiary rights. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, strikes, pandemic, or infrastructure failures.
