Terms of Service

You must not, and must not permit any third party to:

• Sublicense, sell, rent, lease, or transfer the software or your account to any third party
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
• Modify, adapt, translate, or create derivative works based on the software
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Use the Service for any illegal, fraudulent, or unauthorised purpose
• Use automated scripts, bots, or tools to scrape, stress-test, or abuse the Service
• Attempt to gain unauthorised access to any part of the Service, its servers, or connected systems
• Resell, white-label, or commercialise the Service without our prior written consent
• Use the Service to process or transmit content that is unlawful, defamatory, infringing, or harmful

LotusQ is built on open-source components including Electron (MIT) and others. Your use of those components is governed by their respective licences, copies of which are bundled with the software. These Terms do not supersede those licences.

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised use of your account. We are not liable for any loss arising from your failure to keep credentials secure.

You may not create multiple accounts to obtain repeated free trials, to circumvent referral rewards, or to evade any other restriction. Each person may receive only one free trial, however many accounts they hold. We reserve the right to merge or terminate duplicate accounts.

LotusQ is a subscription service. Cloud transcription and the features listed in 4.2 require either an active free trial or an active Pro subscription; there is no free tier. You may create an account and sign in without a subscription, but the service will not transcribe until a trial or subscription is active. Trial access is provided at our discretion and may change with reasonable notice.

Access to cloud transcription, Smart Styles, synced dictionary, Compose, and priority support requires a paid Pro subscription ("Pro"). Pro is available on a monthly ($6/month) or annual ($60/year) basis.

Eligible accounts may receive a 7-day Pro trial with full access to all Pro features. Nothing is charged for the trial itself. A trial is one of two kinds, depending on how it is started:

• Trial without a card. We may offer some new accounts a trial without providing payment details. Unless you have added a payment method, nothing is charged when the trial ends. At the end of the trial, access to Pro features simply ends unless you add a payment method and activate a paid subscription. We may apply reasonable usage limits during a trial without a card, such as a daily limit on the amount of audio transcribed; adding a payment method removes those limits.
• Trial with a card. If you start a trial by providing payment details at checkout, your trial converts automatically into a paid Pro subscription on the plan you chose when the trial ends, and your payment method is charged at that time, unless you cancel before the trial ends (see 4.5). After that, 4.4 applies.

If you add a payment method during a trial without a card, your trial becomes a paid Pro subscription on the plan you choose, which renews automatically as set out in 4.4. The date of your first charge is shown at checkout before you confirm. It may be the day your trial would have ended or, where little of the trial remains, the day you subscribe. Where the first charge falls on the day your trial would have ended, you may cancel before then under 4.5 and nothing is charged.

Whenever a trial ends without a paid subscription, your account and any settings, dictionary and snippets you have saved are retained, but the service will no longer transcribe. Each person may receive only one free trial (see 3.3). Trial access is provided at our discretion; we may modify or withdraw either kind of trial, or change which accounts are eligible for it, with reasonable notice.

Subscriptions are billed in advance and renew automatically at the end of each billing period unless cancelled. All prices are listed in USD and exclude any applicable taxes, which are your responsibility. Payment is processed by our third-party payment processor; LotusQ does not store your payment card details.

You may cancel your subscription at any time through the LotusQ customer portal. Cancellation takes effect at the end of the current billing period; you retain access to Pro features until that date. If you cancel during a trial, no charge is made and your access to Pro features ends when the trial ends. Cancellation does not entitle you to a refund of any fees already paid.

All fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 14 days of the charge at [email protected] and we will investigate in good faith.

We may change subscription prices on reasonable notice (no less than 30 days). Price changes will not affect your current billing cycle but will apply on your next renewal. If you do not agree to a price change, you must cancel before it takes effect.

Anyone with a LotusQ account may receive a personal referral link and code. You earn a reward when a person who is new to LotusQ signs up using your link or code, dictates at least 2,000 words, and makes a successful first subscription payment. These may happen in either order. A free trial on its own does not count, and adding a card and then cancelling before the first charge does not count.

Each reward is 30 days. If you are on a free trial when the reward is applied, your trial is extended by 30 days. If you have a paid subscription, your next billing date moves back by 30 days. The referred person does not receive a referral reward.

Each account may earn at most three rewards in total (90 days) for the life of the account. Referrals that complete after that earn nothing. If, when a reward becomes due, you have neither a running free trial nor an active subscription, no reward is applied and it does not count toward your three.

• Referral rewards have no cash value and may not be exchanged for currency
• Each person may be referred only once
• People who have, or have had, a LotusQ subscription are not eligible to be referred
• Self-referrals are not eligible
• Abuse of the referral programme (including fake accounts, bot signups, or fraudulent activity) will result in forfeiture of all accrued rewards and may result in account termination
• We reserve the right to modify, suspend, or terminate the referral programme at any time with reasonable notice

We actively monitor referrals for fraud. We may withhold or reverse rewards where we reasonably suspect fraudulent activity. Our determination is final.

The LotusQ software, website, brand, logo, and all associated content and technology are owned by or licensed to ANNT Capital Limited and are protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any ownership rights to you.

If you provide suggestions, ideas, or feedback about the Service, you grant us a worldwide, royalty-free, irrevocable licence to use that feedback for any purpose without compensation to you.

You retain all rights to any text produced by transcribing your voice using LotusQ. We claim no ownership over your dictated content. We do not use your audio or transcription output to train any machine learning models.

You may stop using the Service and delete your account at any time. Account deletion requests can be submitted by emailing [email protected]. We will process deletion within 7 days. The limited trial history record described in our Privacy Policy is kept after deletion to prevent repeat free trials, and is deleted after 24 months, or earlier if you ask us to erase your data and we can still link it to you.

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in fraudulent activity, fail to pay fees when due, or if we are required to do so by law. Where permitted, we will give reasonable advance notice of termination for other reasons.

On termination, your licence to use the software immediately ceases. You must uninstall the application. Provisions that by their nature should survive termination (including Sections 7, 10, 11, 12, and 13) will continue in force.

If you have a dispute with us, please contact us first at [email protected]. We will make a good-faith effort to resolve the matter informally within 30 days.

If you are a consumer resident in the UK or EEA, these Terms do not affect any statutory rights you have under applicable consumer protection legislation. Where mandatory local law provides greater protection, those provisions prevail.

If you are an EU consumer, you may submit a complaint via the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ANNT Capital Limited regarding the Service and supersede all prior agreements.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, or sale of assets) without restriction.

These Terms do not create any third-party beneficiary rights. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, strikes, pandemic, or infrastructure failures.
